1. INTRODUCTION

These Terms of Service (“Terms”) govern your use of our website and the purchase of goods from Avon Controls Ltd (“we”, “us”, “our”).

By accessing our website or placing an order, you agree to be bound by these Terms.

We operate both consumer sales (B2C) and business sales (B2B). The applicable terms depend on the nature of your purchase.

If payment has been taken, a full refund will be issued where applicable.

All prices are in GBP (£) and include VAT unless stated otherwise.

Delivery charges are shown at checkout.

We may correct pricing errors prior to acceptance.

Payment must be made in full unless agreed otherwise in writing.

6. DELIVERY

Delivery times are estimates only.

We are not liable for delays caused by:

• courier services
• supplier delays
• customs processes
• weather or disruption
• force majeure events

Risk passes on delivery. Ownership remains with us until full payment is received.

7. RETURNS AND REFUNDS (CONSUMERS)

Consumers have statutory rights under the Consumer Rights Act 2015.

In addition:

• faulty goods will be repaired, replaced or refunded where applicable
• returns must be reported promptly
• items must be returned where reasonably required

Nothing in these Terms affects your legal rights.

8. INTELLECTUAL PROPERTY

All content on this website is owned or licensed by Avon Controls Ltd.

You may not:

• distribute
• modify
• commercially exploit

any content without written permission.

9. THIRD PARTY SERVICES

We may use third-party services (e.g. payment processors, couriers, Shopify tools).

10. SHOPIFY PLATFORM

Our store is hosted by Shopify.

Your contract is with Avon Controls Ltd only.

Shopify is not responsible for:

• products
• pricing
• delivery
• returns
• customer service

12. ACCEPTABLE USE

You must not misuse our website, including:

These Terms, together with our Privacy Policy, Shipping Policy and Returns Policy, form the entire agreement between you and us.

17. B2B TRADE TERMS (ENGINEERING & INDUSTRIAL SUPPLY)

These Terms apply to all business purchases from Avon Controls Ltd and form a separate commercial contract.

They override consumer terms entirely where the purchase is made in a business capacity.

17.1 BUSINESS STATUS

You confirm that:

• you are acting in the course of business
• goods are not purchased as a consumer
• you have authority to bind your organisation

17.2 ENTIRE AGREEMENT (B2B)

This agreement constitutes the entire contract between the parties.

You confirm you have not relied on any statement not expressly included in this agreement.

No variation is valid unless agreed in writing.

17.3 PRODUCT SUITABILITY

You are responsible for:

• product selection
• system compatibility
• regulatory compliance
• operational suitability

Any guidance provided is non-binding unless confirmed in writing.

17.4 ENGINEERING LIABILITY EXCLUSION

Unless agreed in writing, we do not:

• design systems
• approve integration
• validate installations
• certify performance

All system-level responsibility remains with the Customer.

17.5 ORDERS

Orders are accepted only upon confirmation or dispatch.

We may cancel or refuse orders at our discretion.

17.6 PRICES AND PAYMENT

• Prices exclude VAT unless stated
• Payment terms are strictly as agreed
• Late payment interest applies under UK law
• We may suspend delivery for overdue accounts

17.7 DELIVERY AND RISK

Risk transfers on delivery or collection.

We are not liable for third-party delays or incorrect delivery details.

Title remains with us until full payment is received.

17.8 INSPECTION

Goods must be inspected within 5 working days.

Failure to notify defects constitutes acceptance.

17.9 RETURNS (B2B)

Returns are at our discretion and may include:

• restocking fees
• rejection of bespoke or special-order goods

17.10 WARRANTIES

Manufacturer warranties may apply.

No additional warranties are given unless agreed in writing.

17.11 LIABILITY LIMITATION (B2B)

We are not liable for:

• loss of profit
• loss of contracts
• loss of business
• loss of goodwill
• indirect or consequential losses

Total liability is limited to the value of the goods supplied.

17.12 INSTALLATION

You are responsible for:

• installation
• commissioning
• compliance with safety standards

We accept no liability for installation errors.

17.13 CONFIDENTIALITY

All technical and commercial information must be kept confidential.

17.14 GOVERNING LAW

England and Wales courts have exclusive jurisdiction.
